These Terms of Use (“Terms”) govern your access to and use of cyopsecuritas.com (the “website”), operated by CyOp Security LLC (“CyOp,” “we,” “us,” or “our”). By accessing or using the website, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the website.

1. Informational Purpose Only

The website provides general information about CyOp and its professional services. Website content is provided for informational purposes only and does not constitute security, legal, compliance, audit, investigative, or other professional advice, and it is not a substitute for engagement-specific analysis performed under a written agreement. You should not act or refrain from acting based on website content without obtaining advice appropriate to your specific circumstances.

Content may become outdated, and CyOp has no obligation to update it. Descriptions of services are summaries only; all services are provided solely under, and governed exclusively by, a separately executed written agreement.

2. No Engagement, Reliance, or Duty

Use of the website, or communication with CyOp through or in connection with it, does not create a client, contractual, fiduciary, or confidential relationship. No engagement exists unless and until the parties execute a written agreement. CyOp is not obligated to respond to, accept, or act on any inquiry, and may decline any prospective engagement in its sole discretion, including following legitimacy, conflict, sanctions, or lawful-purpose screening.

3. No Authorization to Test

Nothing on the website constitutes authorization, permission, an invitation, or consent to test, scan, probe, or attempt to access any system, network, application, or data — whether belonging to CyOp, its clients, or any third party. Security testing is lawful only with the prior written authorization of the system owner and within its defined scope. CyOp does not solicit, direct, or condone unauthorized access to any system, and it disclaims any liability arising from activity you undertake without proper authorization.

4. Acceptable Use

You agree to use the website only for lawful purposes. You will not:

  • probe, scan, or test the vulnerability of the website or its supporting infrastructure, or breach or circumvent any security or authentication measure, without CyOp’s prior written authorization;
  • interfere with or disrupt the website, its servers, or connected networks, including by transmitting malware, launching denial-of-service activity, or imposing an unreasonable load;
  • attempt to gain unauthorized access to any portion of the website, administrative functions, or systems or data not intentionally made available to the public;
  • scrape, harvest, or collect information from the website by automated means, or use website content to train, fine-tune, or ground artificial-intelligence or machine-learning models, without CyOp’s prior written consent;
  • impersonate CyOp or any person, misrepresent your affiliation, or use the website or its content in connection with phishing, pretexting, or other deceptive activity;
  • frame, mirror, or republish the website or substantial portions of its content without prior written consent; or
  • use the website in violation of any applicable law, regulation, or third-party right.

CyOp may monitor use of the website for security purposes, may restrict, suspend, or terminate access at any time without notice, and may preserve and disclose evidence of suspected unlawful activity to law-enforcement or other appropriate authorities.

5. Intellectual Property

The website and its content — including text, graphics, logos, service names, page designs, and their selection and arrangement — are owned by or licensed to CyOp and are protected by United States and international intellectual-property laws. “CyOp,” “CyOp Security,” and associated logos and marks are marks of CyOp Security LLC; no right or license to use them is granted.

You are granted a limited, revocable, non-exclusive, non-transferable license to access the website and view and print its content for your personal or internal business evaluation of CyOp’s services. All other rights are reserved. Any use not expressly permitted is prohibited without prior written consent.

If you believe content on the website infringes your copyright, notify us at the address in Section 12 with sufficient detail to identify the work and the allegedly infringing material.

6. Communications and Unsolicited Submissions

Any information, ideas, suggestions, or materials you send to CyOp outside an executed written agreement (“Submissions”) are received on a non-confidential and non-proprietary basis, except as required by applicable law or as described in the Privacy Policy. You represent that you have the right to send any Submission and that it does not contain information you are obligated to keep confidential, information obtained unlawfully, or personal information of others sent without lawful basis. CyOp may use, disclose, retain, or delete Submissions without obligation or compensation, subject to the Privacy Policy. Suspected security issues affecting the website itself should be reported as described in the Privacy Policy; CyOp offers no bug bounty, compensation, safe harbor, or testing authorization.

7. Third-Party Sites and Services

The website may link to third-party websites or services. Links are provided for convenience only and do not constitute endorsement. CyOp does not control and is not responsible for third-party content, security, availability, or privacy practices, and your use of third-party sites is at your own risk and subject to their terms.

8. Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, OR FREEDOM FROM ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS. CYOP DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYOP AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYOP’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US $100). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. SERVICES PERFORMED UNDER A WRITTEN AGREEMENT ARE GOVERNED BY THAT AGREEMENT’S LIABILITY TERMS, NOT THIS SECTION.

10. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless CyOp and its members, managers, officers, employees, contractors, and agents from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use or misuse of the website, your violation of these Terms, your violation of applicable law or third-party rights, or any Submission you provide.

11. Governing Law; Venue; Disputes

These Terms and any dispute arising out of or relating to them or the website are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-law principles. Exclusive venue for any such dispute lies in the state or federal courts located in Bexar County, Texas, and each party consents to personal jurisdiction there, to the extent permitted by applicable law. Any claim arising out of or relating to the website must be filed within one year after the claim accrues, to the extent permitted by applicable law, or it is permanently barred. Each party waives any right to a jury trial and to participate in a class or representative action relating to the website, to the extent permitted by applicable law.

12. General Provisions

Changes. We may revise these Terms at any time by posting the revised version on this page and updating the “Last updated” date. Revisions take effect upon posting, and your continued use of the website constitutes acceptance.

Severability; waiver. If any provision of these Terms is held invalid or unenforceable, it shall be enforced to the maximum extent permissible and the remaining provisions remain in full force. Failure to enforce any provision is not a waiver.

Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and CyOp regarding use of the website and supersede prior understandings on that subject. They do not modify any executed written agreement between you and CyOp, which controls as to its subject matter.

No third-party beneficiaries; assignment. These Terms create no third-party beneficiary rights. You may not assign these Terms; CyOp may assign them in connection with a business transaction.

Export and sanctions. You represent that you are not located in, or acting on behalf of any party in, a jurisdiction subject to comprehensive United States sanctions and that you are not on any United States restricted-party list.

Survival. Sections 2, 3, 5, 6, and 8 through 12 survive any termination of your access.
